This Fulltime Music Pro Data Processing Addendum (“Addendum”) amends the Terms of Service (the “Agreement”) between you and Fulltime Music Pro, a Swiss-based company.
“Data Protection Legislation” means relevant privacy regulations, including European Directives 95/46/EC and 2002/58/EC and any legislation/regulation implementing or replacing them (including the General Data Protection Regulation, Regulation (EU) 2016/679).“Data Processor,” “Data Subject,” “Processor,” “Processing,” “Subprocessor,” and “Supervisory Authority” shall have the meanings assigned by applicable Data Protection Legislation.“Personal Data” in this Addendum refers to data relating to an identifiable person (“Contact” or “Member”) who visits or engages in transactions through your site, which Fulltime Music Pro processes as a Data Processor while providing you services.Any other capitalized terms in this Addendum carry the same meaning as in the Agreement.
2.1 Processing of Personal Data
Fulltime Music Pro will process Personal Data only as necessary to provide the Services in compliance with your documented instructions (or as otherwise agreed). If required by law to process Personal Data for a different purpose, Fulltime Music Pro will notify you unless prohibited from doing so. Fulltime Music Pro will inform you if it believes your instructions violate applicable Data Protection Legislation. Fulltime Music Pro will promptly notify you of inquiries or complaints from Data Subjects or Supervisory Authorities about our Processing of Personal Data, as permitted by law. Fulltime Music Pro will maintain suitable technical and organizational measures to guard against unauthorized or unlawful processing, accidental loss, destruction, or damage to Personal Data. Upon request, Fulltime Music Pro will provide certifications or reports to help you assess compliance. Fulltime Music Pro will notify you promptly upon confirming any accidental or unlawful data breach. Fulltime Music Pro staff with access to Personal Data are under confidentiality obligations preventing unauthorized disclosure. Upon termination of the Agreement, and subject to its terms, Fulltime Music Pro will delete or anonymize Personal Data. If you request a copy within 60 days of termination, we will provide it. Fulltime Music Pro may keep Personal Data when required by law or as consistent with standard retention policies.
2.2 Subprocessors
You acknowledge and agree that Fulltime Music Pro may use Subprocessors to carry out data processing. Subprocessors used by Fulltime Music Pro must abide by Data Protection Legislation and have a contract for confidentiality and data protection in place.
2.3 Restricted Transfers
The Standard Contractual Clauses may apply to any transfers of Personal Data from the EU to third countries.
3.1 Priority
In the event of any conflict between this Addendum and the Agreement, this Addendum prevails. Liability limitations follow the Agreement. Fulltime Music Pro may update this Addendum by posting revised terms on our website. Continued use of the Services after any revision implies acceptance of the new terms.If any provision is invalid or unenforceable, the remainder stays in full effect, and the invalid portion shall be amended or interpreted in a way that best reflects the parties’ intentions.
3.2 Governing Law
Except as required by Data Protection Legislation, this Addendum shall be governed by and interpreted in accordance with the laws of Switzerland in the canton of Zug, without regard to conflicts of law principles. Both parties consent to exclusive jurisdiction in Zug, Switerland for all disputes arising under this Addendum.
